1. Scope
These Terms and Conditions apply to all contracts between Benyamin Jafari ("Contractor") and clients ("Client") for web design, development, and consulting services. Deviating terms of the Client do not apply unless expressly agreed in writing.
2. Formation of Contract
All offers are non-binding. A contract is formed when the Contractor sends a written order confirmation or begins work with the Client's consent.
3. Scope of Services
The scope of services is defined in the respective offer or written order confirmation. Amendments require written agreement.
4. Prices and Payment
All prices are exclusive of applicable VAT (Mehrwertsteuer). Invoices are due within 14 days of the invoice date without deductions.
5. Intellectual Property
Deliverables remain the Contractor's property until payment is received in full. Upon full payment, the Client receives a simple licence to use the deliverables for the agreed purpose. The Contractor retains the right to reference the project in a portfolio.
6. Liability
The Contractor's liability is limited to intent and gross negligence, except where material contractual obligations are breached. Liability for indirect damages and lost profits is excluded to the extent permitted by law.
7. Governing Law and Jurisdiction
These Terms are governed by German law. For contracts with merchants (Kaufleute), the place of jurisdiction is Dresden, Germany.
8. Severability
Should any provision be or become invalid, the validity of the remaining provisions is not affected.
